Acceptance of terms
- By accessing or using Zimitix sites or services, you agree to these Terms and our Privacy Policy.
- If you use our services on behalf of an organization, you represent you have authority to bind that organization.
Use of services
- You will comply with applicable laws and avoid misuse (e.g., unauthorized access, disruption, or scraping beyond fair use).
- You are responsible for maintaining the security of your accounts and credentials.
Content and IP
- Zimitix and its licensors retain ownership of all intellectual property in our sites, code, designs, and content.
- You retain ownership of content you submit; you grant us a limited license to use it to operate and improve the services.
- Do not use our trademarks or branding without prior written permission.
Confidentiality
- Both parties may exchange confidential information. Each agrees to protect and only use it as necessary to perform obligations.
- Confidentiality obligations do not apply to information already public, independently developed, or received lawfully from a third party.
Warranties and disclaimers
- Services are provided “as is” without warranties of any kind, express or implied.
- We do not guarantee uninterrupted or error-free operation. You assume all risk for use.
Limitation of liability
- To the fullest extent permitted by law, Zimitix will not be liable for indirect, incidental, or consequential damages.
- Our aggregate liability for all claims related to the services will not exceed the amounts paid by you to Zimitix in the 12 months prior to the claim.
Indemnification
- You will indemnify and hold Zimitix harmless from claims arising out of your misuse of the services or violation of these Terms.
Termination
- We may suspend or terminate access if you violate these Terms or use the services in a harmful manner.
- Upon termination, your right to use the services stops immediately; certain provisions survive termination (e.g., IP, confidentiality, liability limits).
Changes to terms
- We may update these Terms periodically. Material changes will be posted on this page with an updated date.
- Your continued use after changes constitutes acceptance of the updated Terms.
Governing law
- These Terms are governed by the laws of the jurisdiction where Zimitix is established, excluding conflict of law principles.
- Disputes will be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
